| 摘 要： | 分析了改制后的国有企业仍存在着股权过于集中 ,内部权力结构失衡 ,激励监督机制失灵 ,外部市场约束乏力等种种内部治理结构不规范的现象和原因 ,提出了通过资本营运来优化和分散公司的股权结构 ,强化所有权约束机制。完善市场体系 ,改进公司委托 -代理制度的对策建议。

| Abstract: | The paper analyses such phenomena in internal corporate governance as over centralization of share right, inequilibrium of interior of power construction, failure of incentive monitoring mechanic and softness of exterior market constraint existing in the state owned enterprises (SOEs) and their causes. It provides a suggestion of using capital operation to optimize, decentralize firm's share-right construction, intensify ownership constraint, perfect market system and improve firm's principle agent institution. |
