上市公司内部职工持股制度创新研究

摘    要:内部职工持股制度是推动我国产权制度改革,建立现代企业制度的重要途径之一。而目前这种具有短期福利特点的内部职工持肌制度,使得内部职工持股比例的高低与企业绩效之间不存在正相关关系。文章通过对上市公司职工股标换手率和股价变化情况的分析,提出要通过对企业剩余控制权和过取权的重新安排,建立一种长期性的激励机制和福利机制。

Abstract:The staff shareholding system is one of the important means to establish modern enterprise system and promote the reform of ownership system in our country. But at present, the staff share has a feature of short term welfare, the percentage of staff share has no relation with the profits of the company. This paper studied the exchange rate and price fluctuation of the staff share in the stock market, then put forward some suggestions to rearrange the right of control and charge in order to establish a long term system of incentive and welfare.
